Terms of Service

These Terms of Service ("Terms") constitute a binding legal agreement between you and Archade Inc. ("Archade", "we", "us"). By accessing or using our platform, you agree to these Terms.

1. Introduction & Eligibility

1.1 The Platform

Archade is a professional indexing platform and entity-based discovery system for the built world. We provide infrastructure for documenting projects, firms, and professional contributions, as well as tools for commerce, hiring, and promotion.

We are a neutral infrastructure provider. We index information provided by users and third-party sources. We are not a publisher, employer, or guarantor of accuracy.

1.2 Eligibility

To use Archade, you represent and warrant that:

You are at least 16 years of age.
You have the full power and authority to enter into these Terms.
Your access has not been previously suspended or terminated.

2. User Accounts

2.1 Registration

To access certain features, you must register an account. You agree to provide accurate, current, and complete information.

2.2 Security

You are responsible for safeguarding your credentials. You serve as the administrator of your persona on the graph.

2.3 Impersonation

Impersonating any person or entity, or falsely claiming an affiliation with any entity, is strictly prohibited and constitutes a material breach of these Terms.

3. Paid Services & Monetization

3.1 Payments & Subscriptions

Certain features (e.g., Professional Subscriptions, Job Postings, Asset Sales) are paid services. By using them, you agree to our Payments & Subscriptions Policy, which is incorporated by reference into these Terms.

3.2 Marketplace Transactions

Archade facilitates transactions between users (e.g., selling Assets, hiring Freelancers).

Neutral Intermediary: Archade is not a party to these contracts.
No Guarantee: We do not warrant the quality, safety, or legality of any user-offered goods or services.
Employment: Archade is not the employer of any freelancer or job applicant found through the Service.

3.3 Advertising & Promotions

Archade may offer paid promotional placements ("Boosts," "Featured Jobs"). We do not guarantee specific performance results (e.g., clicks, hires) for such placements.

4. Content Ownership & License

4.1 Your Content

You retain ownership of the content you submit. Archade does not claim ownership of your text, images, metadata, or other materials ("User Content").

4.2 License to Archade

By submitting User Content, you grant Archade a worldwide, non-exclusive, royalty-free, sublicensable, and perpetual license (for the duration your content is hosted on the platform) to use, store, and process that content. This covers:

Text, images, metadata, annotations, and any derivatives we create (e.g., thumbnails, previews).
Embeddings and structured representations (e.g., for search, discovery, and AI enrichment).
Aggregated or summarized outputs (e.g., analytics, trend data, knowledge-graph nodes).

We may use this license to:

Display, distribute, and perform your content—so your work is visible and attributable.
Index, cache, and archive your content for discovery and search.
Modify, analyze, annotate, classify, and generate derivatives of your content as needed to operate the platform (e.g., thumbnails, embeddings for search).
Generate embeddings and use automated systems (including AI) to enrich discovery and matching.
Aggregate data across users in anonymized or de-identified form for analytics, industry insights, and structured data we make available for research and tools.

This license enables us to run the global registry of the built world—discovery, attribution, embeddable previews, and structured data for the industry. Full contributor warranties are in our Content License.

4.3 Visibility & Indexing

If you make content public, you acknowledge that it may be:

Indexed by search engines and discovery tools—so you and your work can be found.
Exposed via our APIs and embeddable widgets (e.g., on your portfolio or site).
Used as part of industry insights and structured data we make available so you and your work can be discovered and attributed correctly. See Dataset License and Dataset Opt-Out.
Referenced by third parties in accordance with our policies.

You control visibility. Content you mark private is not indexed, embedded, or used in that structured data.

5. Entity Representation

5.1 Authority

If you claim to represent a Firm or Organization, you warrant that you have the legal authority to do so.

5.2 Accuracy

You agree that all attribution claims (e.g., "I worked on Project X") are factual. False attribution claims violate our Content Policy.

5.3 Disputes

Disputes regarding entity claims are handled according to our Entity Claim Policy. Archade reserves the right to freeze or transfer entity control based on verification evidence.

6. Prohibited Conduct

You agree not to:

Misrepresent: Falsely attribute work to yourself or others.
Abuse: Scrape, spider, or crawl the platform for data harvesting without express permission.
Harass: Engage in professional misconduct or harassment of other users.
Fake: Create listings for products, projects, or firms that do not exist.
Payment Fraud: Engage in chargeback abuse or use stolen financial credentials.

7. Disclaimers, Liability & Indemnification

7.1 "As Is" & Beta Disclaimer

Archade is provided "as is" and "as available". We make no warranties regarding the accuracy, completeness, availability, or reliability of the index. Archade is a rapidly evolving platform and may contain software bugs, errors, or inaccuracies. We reserve the right to modify or discontinue features at any time.

7.2 No Verification Warranty

Archade does not verify all entity claims by default. Visibility on the platform does not constitute verification or endorsement by Archade. Relationships are user-asserted unless explicitly marked as "Verified".

7.3 Limitation of Liability

To the maximum extent permitted by law, Archade shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, resulting from:

Your access to or use of or inability to access or use the Service;
Any conduct or content of any third party on the Service;
Any content obtained from the Service;
Unauthorized access, use, or alteration of your transmissions or content.

7.4 Indemnification

You agree to defend, indemnify, and hold harmless Archade and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:

Your use and access of the Service;
A breach of these Terms;
Content posted on the Service (including Intellectual Property claims arising from your submissions).

8. Dispute Resolution & Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

8.1 Mandatory Arbitration

All disputes arising out of or regarding these Terms or any aspect of the relationship between you and us, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, will be resolved through final and binding arbitration before a neutral arbitrator instead of in a court by a judge or jury.

8.2 Class Action Waiver

YOU AND ARCHADE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

8.3 Exception - Intellectual Property

Notwithstanding the above, Archade retains the right to bring an individual action in court to enjoin the infringement or other misuse of its intellectual property rights.

9. Termination

We reserve the right to suspend or terminate your access for violations of these Terms.

Financial Obligations: Termination does not relieve you of the obligation to pay fees incurred prior to termination.
Survival: Provisions regarding Content Ownership, Indemnification, Limitation of Liability, and Dispute Resolution (Arbitration) survive termination.
Data Retention: Upon termination, your data may be retained as part of the historical record of the built world, though your personal access will be revoked. See our Privacy Policy and Dataset Opt-Out for control over visibility and dataset inclusion.

10. General Provisions

10.1 Modifications

We may modify these Terms at any time. Material changes will be communicated via email or platform notification. Continued use after the effective date constitutes acceptance.

10.2 Assignment

We may assign these Terms in connection with a merger, acquisition, or sale of assets. You may not assign these Terms without our prior written consent.

10.3 Governing Law

These terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles.
