Marketplace Terms

Effective Date: January 14, 2026

These terms govern the purchase and sale of digital assets, services, and other items on the Archade Marketplace.

1. Scope of Marketplace

The Archade Marketplace facilitates the exchange of:

Digital Assets: 3D models, textures, scripts, plugins, and other files ("Assets").
Services: Freelance design, consulting, or technical work ("Gigs").
Future Categories: Any other goods or services explicitly enabled by the Platform.

By listing an item or purchasing a service, you agree to these terms, which are in addition to our Terms of Service and Privacy Policy.

2. Role of Archade

2.1 Platform, Not Party

Archade is strictly a venue provider.

We are not the Seller or Buyer in any transaction unless explicitly identified as such.
We are not a party to the contract formed between Buyer and Seller.
We do not control or warrant the quality, safety, or legality of items advertised, the truth or accuracy of listings, or the ability of Sellers to sell items or Buyers to pay for them.

2.2 Limited Payment Agent

Sellers appoint Archade as their limited payment collection agent solely for the purpose of accepting funds from Buyers.

Payment made by a Buyer to Archade shall be considered the same as payment made directly to the Seller.
Seller agrees that Buyer’s payment obligation is extinguished upon receipt by Archade.

3. Use of Marketplace

3.1 Eligibility

Sellers: Must represent and warrant they have full legal authority to sell the items listed. Archade reserves the right to request identity verification at any time.
Buyers: Must be authorized users of the payment method provided.

3.2 Prohibited Items

You may not list:

Stolen or unauthorized content.
Malware, viruses, or malicious code.
Content that violates our Content Policy or Community Guidelines.

3.3 Removal & Suspension

Archade reserves the right to remove any listing or suspend any user at any time, for any reason, without prior notice or liability.

4. Payments, Payouts & Taxes

4.1 Payment Processing

All payments are processed through our third-party payment processors (e.g., Stripe). You agree to comply with their separate terms of service.

4.2 Payouts to Sellers

Timing: Payouts are made to the connected account on a schedule determined by Archade (e.g., net-30 or upon clearance).
Clearance Period: Funds may be held for a clearance period (typically 7-14 days) to ensure settlement and cover potential refunds or disputes.
Thresholds: Minimum payout thresholds may apply.

4.3 Withholding & Offsets

Archade reserves the right to withhold, delay, or reverse payouts if:

We suspect fraud or illegal activity.
We receive a chargeback or dispute related to your sales.
You violate these Terms.
We are required to do so by law.

4.4 Taxes

Sellers are solely responsible for determining, collecting, reporting, and paying any applicable taxes (VAT, GST, sales tax, income tax) resulting from their sales.
Archade may collect and remit taxes automatically where required by marketplace facilitator laws, but this does not absolve Sellers of their tax obligations.

5. Refunds & Disputes

5.1 Default Policy: No Refunds

Due to the digital nature of Assets and the irrevocable nature of Services, all sales are final, and no refunds are provided by default.

5.2 Platform Discretion

Archade reserves the right, at its sole discretion, to issue a refund to a Buyer and deduct the amount from the Seller’s account if:

The Asset does not materially match the description.
The Asset contains malware or is corrupted.
The Seller did not have the rights to sell the Asset.
The Service was not delivered.

5.3 Dispute Resolution

In the event of a dispute between Buyer and Seller:

Parties must attempt to resolve the issue directly.
If unresolved, either party may escalate to Archade.
Archade’s decision is final and binding. We may determine the outcome based on available evidence and apply remedies including refunds, credit reversals, or account suspensions.

5.4 Chargebacks

If a Buyer files a chargeback:

The Seller accepts that the disputed amount plus any chargeback fees will be deducted from their account balance.
Archade may contest the chargeback but is not obligated to do so.

6. Intellectual Property

6.1 Seller Warranties

By listing an Asset, Seller warrants that:

They own the Intellectual Property Rights or have sufficient authority to grant the rights to the Buyer.
The Asset does not infringe on the rights of any third party.

6.2 License to Platform

Seller grants Archade a worldwide, non-exclusive, royalty-free license to use, reproduce, and display the Asset listings for the purpose of operating and promoting the Marketplace.

6.3 Infringement & Takedowns

Archade respects IP rights. We will remove listings identified as infringing in accordance with our IP Policy.

We may freeze funds associated with infringing sales.
Repeat infringers will be banned.

7. Fees

7.1 Platform Fees

Archade charges a Platform Fee (commission) on every transaction.

The Fee is deducted at source from the gross purchase price before payout.
Current fee structures are available in the Creator Portal/Lobby.

7.2 Changes

Archade reserves the right to change its fee structure with reasonable notice. Continued use of the Marketplace constitutes acceptance of new fees.

8. Disclaimers & Limitation of Liability

THE MARKETPLACE IS PROVIDED "AS IS".

TO THE FULLEST EXTENT PERMITTED BY LAW:

NO WARRANTY: ARCHADE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
NO LIABILITY FOR TRANSACTIONS: ARCHADE SHALL NOT BE LIABLE FOR ANY LOSSES ARISING FROM TRANSACTIONS BETWEEN BUYERS AND SELLERS, INCLUDING FAILURE TO DELIVER, QUALITY ISSUES, OR PAYMENT DISPUTES.
CAP ON LIABILITY: ARCHADE’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE MARKETPLACE TERMS SHALL NOT EXCEED THE TOTAL FEES RETAINED BY ARCHADE FROM YOUR TRANSACTIONS IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
